Welcome to Virgil.ia. By using our web platform (the "Platform") available at https://virgilia.ch, you agree to comply with and be bound by the following Terms and Conditions (the "Terms"). Please read these Terms carefully before using the Platform. If you do not agree with these Terms, you must not use the Platform.
1. Acceptance of Terms
By accessing or using the Platform, you — acting as the legal representative or delegate of the client organisation (the "Organisation") — agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree, you must immediately cease use of the Platform.
2. Changes to Terms
Virgilia Sagl reserves the right to modify these Terms at any time. Changes take effect upon publication on the Platform or the official website. For material changes, notice will be sent to the registered email address. Continued use of the Platform after such notice constitutes acceptance of the changes.
3. Description of Service
Virgil.ia is a SaaS (Software as a Service) platform that assists organisations in their journey towards compliance with the NIS2 Directive and ISO 27001 standard, through automated analysis tools (Gap Analysis), document management, AI-based consultancy, incident management, and supply chain risk mapping.
Virgilia Sagl does not issue certifications. Formal certification remains the exclusive competence of accredited and independent third-party bodies. The Platform prepares the Organisation for the certification audit but does not guarantee a positive outcome.
4. Use of the Platform
You agree to use the Platform exclusively for lawful, professional purposes in compliance with these Terms. You must not use the Platform:
- In violation of any applicable local, national or international law or regulation.
- To upload, transmit or process content that violates the rights of third parties or applicable data protection regulations.
- To attempt to gain unauthorised access to systems, other users' data or the Platform's infrastructure.
- To send unsolicited commercial communications or conduct unauthorised scraping, reverse engineering or code analysis.
- To impersonate Virgilia Sagl, one of its employees, another user or any other person or entity.
- For purposes other than the regulatory compliance purposes for which the Platform was designed.
5. Account and Security
Access to the Platform requires the creation of an account. The Organisation is responsible for the confidentiality of its access credentials and all activities carried out through its account. In the event of unauthorised access or breach of security, you must notify info@virgilia.ch immediately.
6. Content and User Data
The Organisation retains full ownership of all documents, data and content uploaded on the Platform (the “User Data”). By uploading the Data, the Organisation grants Virgilia Sagl a limited, non-exclusive and revocable licence to process such Data exclusively for the purpose of providing the services contractually provided.
Virgilia Sagl shall not use the User Data for purposes other than the provision of the service, nor shall it transfer them to third parties, except as necessary for the technical execution of the service or as required by applicable law.
The Organisation declares and guarantees that it holds the necessary rights to the uploaded Data and that their processing does not violate the rights of third parties or applicable laws.
7. Intellectual Property
All content, functionality, code, AI templates, document templates, graphical interfaces and algorithms on the Platform are the exclusive property of Virgilia Sagl or its licensors, and are protected by copyrights, trademarks and other applicable intellectual property laws. Nothing in these Terms transfers to the Organisation any intellectual property rights in the Platform or its components.
8. Artificial Intelligence - Limitations and Responsibilities
The Platform integrates functionalities based on artificial intelligence (the “AI Advisor”). The answers and analyses generated by the AI are for information and guidance purposes. They do not constitute legal opinions, certified professional advice or guarantees of regulatory compliance.
The organisation is responsible for operational and strategic decisions made on the basis of AI outputs. It is recommended that the Platform's guidance be reviewed by a qualified professional before taking critical cybersecurity or compliance measures.
9. Service Plans and Payments
The services are provided according to the plans subscribed to by the organisation (e.g. Essential Compliance, Full Audit Readiness). The economic conditions, duration and renewal terms are defined in the subscription contract or purchase order accepted at the time of registration.
In the event of non-payment within the deadline, Virgilia Sagl reserves the right to suspend access to the Platform upon notification. Payments already made are not refundable, unless otherwise agreed in writing or as provided by the applicable Swiss law.
10. Exclusion of Warranties
The Platform is provided “as is” and “as available”, without warranties of any kind, explicit or implicit. Virgilia Sagl does not guarantee that the Platform is free of interruptions, errors or vulnerabilities, nor that the results obtained meet the specific requirements of each Organisation or are sufficient to pass the certification audit.
11. Limitation of Liability
To the fullest extent permitted by Swiss law, Virgilia Sagl shall not be liable for any direct, indirect, incidental, special, consequential or punitive damages arising out of the use or inability to use the Platform, including loss of data, failure to obtain certifications or regulatory sanctions suffered by the Organisation.
Virgilia Sagl's overall liability towards the Organisation, for any cause whatsoever, shall in any case not exceed the amount actually paid by the Organisation for the service in the twelve months prior to the event giving rise to the liability.
12. Protection of Personal Data
We process your personal data in accordance with the Swiss Federal Data Protection Act (nLPD) and, where applicable, the General Data Protection Regulation (GDPR - EU 2016/679). The methods of data collection, processing and storage are described in our [Privacy Policy].
13. Third Party Services
The Platform may integrate with third party services or tools (e.g. cloud providers, authentication tools). Virgilia Sagl is not responsible for the content, availability or security practices of such services. Their use is under the responsibility of the Organisation and may be subject to terms and conditions specific to the third party provider.
14. Confidentiality
Both parties undertake to keep confidential information received in the course of the contractual relationship confidential. Confidential information“ shall mean all data, documents, strategies and know-how exchanged that are not in the public domain. This obligation shall continue for a period of five years after termination of the contractual relationship.
15. Termination
Virgilia Sagl reserves the right to suspend or terminate access to the Platform in the event of breach of these Terms, non-payment or behaviour that causes prejudice to the Platform or other users. Termination will be communicated in writing except in cases of serious breach requiring immediate action. The Organisation may terminate the use of the service at any time in accordance with the terms of the subscribed plan.
16. Applicable Law and Jurisdiction
These Terms and the relationship between the Organisation and Virgilia Sagl shall be governed by the laws of the Swiss Confederation, with the exclusion of conflict of laws rules. The exclusive place of jurisdiction for any dispute shall be the Court of Lugano.
17. Final Provisions
- Full Agreement: These Terms, together with the Privacy Policy and the subscription agreement, constitute the entire agreement between the Organisation and Virgilia Sagl.
- Separability: If a provision is held invalid or unenforceable, the remaining provisions remain fully effective.
- Renunciation: Failure to enforce a right under these Terms does not constitute a permanent waiver of that right.
- Divestment: The Organisation may not assign its rights under this agreement without the written consent of Virgilia Sagl.
